About these terms
These Website Terms of Use ("Terms") apply to your use of the public website at formabase.app (the "Site"), which is operated by LOOP SC, LLC, a Florida limited liability company doing business as FormaBase ("FormaBase," "we," "us," or "our").
By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
What these terms cover, and what they do not
These Terms cover the Site only. They do not cover:
the participant portal used by Creators and Affiliates,
the software products in the FormaBase portfolio, which have their own product terms, or
any Creator Agreement, Affiliate Agreement, or other agreement you sign with us.
If a signed agreement or a product's terms conflict with these Terms, the signed agreement or product terms control for that relationship.
Who can use the Site
The Site is meant for adults. It is not directed to children under 16. To become a Creator or Affiliate you must be at least 18 and sign the relevant agreement.
Nothing on the Site is an offer
The Site describes how FormaBase works and invites you to express interest. It is not an offer to enter into any relationship with you.
Participation as a Creator or Affiliate, and any economics such as revenue-share percentages, payment timing, or eligibility, are governed only by a signed Creator Agreement or Affiliate Agreement.
Any examples, figures, or scenarios on the Site are illustrative only. They are not a promise or prediction of earnings, and your results may differ, including earning nothing.
We may accept or decline any interest form for any reason, and we may change or end our programs at any time.
Interest forms and ideas you send us
You may tell us about a product idea or how you would promote products using our interest form. Please keep it high-level.
Do not send confidential or proprietary details through the Site's forms or by email. Anything you send through the Site is treated as non-confidential.
No agreement or obligation is created. Submitting an idea does not create any agreement, partnership, employment, or other relationship, and it does not obligate us to review, respond to, keep confidential, or compensate you for it.
We may already be working on similar things. FormaBase, its Creators, and others may independently develop products that are similar to ideas you send. Sending us an idea does not limit what we or they may build.
Formal submissions happen later. If we invite you to move forward, product submissions happen through the participant portal under the Creator Agreement, which has its own confidentiality and ownership terms.
You keep whatever rights you have in what you send. You give us permission to store, review, and use your submission to evaluate your interest and communicate with you.
If you send us feedback about the Site or FormaBase in general, we may use it freely without any obligation to you.
Using the Site responsibly
When you use the Site, you agree not to:
break the law or infringe anyone's rights,
submit false information or impersonate anyone,
send spam, malware, or anything harmful,
try to gain unauthorized access to the Site or our systems, or interfere with how they work,
scrape or harvest data from the Site by automated means, except for standard search engine indexing, or
use the Site to build a competing service or to mislead others about a connection with FormaBase.
We may limit or block access to the Site for anyone who violates these Terms.
Our content and trademarks
The Site and its content, including text, design, graphics, logos, and software, belong to FormaBase or its licensors and are protected by intellectual property laws. You may view and share pages from the Site for your personal, non-commercial use. You may not copy, modify, or reuse our content for other purposes without our written permission.
"FormaBase" and our logos are our trademarks. You may not use them without our permission, except as allowed under a signed agreement with us.
Links to other sites
The Site may link to websites or services run by others, including the products in our portfolio. We are not responsible for third-party sites, and their own terms and privacy policies apply.
Privacy
Our Privacy Policy explains how we collect and use personal information through the Site. By using the Site, you acknowledge it.
Disclaimers
The Site is provided "as is" and "as available." To the fullest extent the law allows, FormaBase disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not promise that the Site will be accurate, complete, current, uninterrupted, secure, or free of errors or harmful components. Information on the Site is general and is not legal, tax, financial, or business advice.
Limitation of liability
To the fullest extent the law allows:
FormaBase and its members, managers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Site or these Terms, even if we were told such damages were possible.
Our total liability for any claim arising from or related to the Site or these Terms will not exceed one hundred US dollars (US $100).
Some places do not allow certain exclusions or limits, so some of these may not apply to you. These limits do not apply to liabilities that cannot be limited by law.
Indemnity
If you use the Site in violation of these Terms or the law, or send us content that infringes someone's rights, you agree to defend, indemnify, and hold harmless FormaBase and its members, managers, employees, contractors, and agents from any resulting claims, losses, damages, and expenses, including reasonable attorneys' fees.
Changes to the Site and these terms
We may change, suspend, or discontinue any part of the Site at any time.
We may update these Terms from time to time. When we do, we will change the "Last updated" date above. Changes apply from the time they are posted. If you keep using the Site after that, you accept the updated Terms.
Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising from or related to the Site or these Terms will be brought only in the state or federal courts with jurisdiction in Miami-Dade County, Florida, and you and FormaBase consent to the personal jurisdiction of those courts.
General
Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and FormaBase about the Site, and replace any earlier understandings about it. They do not replace any signed agreement or product terms, which control as described above.
Severability. If any part of these Terms is found unenforceable, it will be limited as little as needed, and the rest will stay in effect.
No waiver. If we do not enforce a part of these Terms, that is not a waiver of our right to enforce it later.
Assignment. You may not transfer your rights under these Terms. We may transfer ours, for example as part of a merger or sale of assets.
No third-party beneficiaries. These Terms do not give rights to anyone other than you and FormaBase.
Headings. Headings are for convenience only.
